The restructuring the North Caspian Project (NCP) Operating Model was completed on 13 June 2015. This reorganization of NCP companies took place in accordance with Dutch legislation, giving due consideration to applicable requirements of the legislation of the Republic of Kazakhstan.
The reorganization was executed by means of the accession to North Caspian Operating Company N.V. (“NCOC NV”) of two other NCP companies, viz., North Caspian Operating Company B.V. (“NCOC BV”) and NC Production Operations Company B.V. (“NCPOC”). The results of this reorganisation are that: (1) NCOC BV and NCPOC have ceased to exist; and (2) NCOC NV became the universal successor of NCOC BV and NCPOC. In the course of this reorganisation NCOC BV’s Branches in Atyrau and Astana, and NCPOC’s Branch in Atyrau were de-registered.
NCOC NV was appointed single Operator under the North Caspian Sea Production Sharing Agreement as of 13 June 2015. NCOC NV continues its NCP operations in the Republic of Kazakhstan through its Branch located in Atyrau at: 1 Smagulov Str., Atyrau City, Atyrau Oblast, 060002, Republic of Kazakhstan.
